The AED 3 million question: does small business relief actually pay off?

Key Takeaways

UAE small business relief is a corporate tax concession that exempts eligible resident businesses with revenues under AED 3 million from corporate tax while simplifying their compliance and reporting obligations.

  • Small business relief now covers tax periods ending on or before 31 December 2029, extended from 2026 by Ministerial Decision No. 131 of 2026.
  • The AED 3 million revenue threshold under Ministerial Decision No. 73 of 2023 has not changed; only the end date has.
  • Cross the threshold in any tax period, and relief is lost for that period only, not for good.
  • Below AED 375,000 in taxable income, the standard 0% band can outperform the relief because it does not block loss carry-forward.
  • Electing is a choice you make each return, not something that applies on its own.

Small business relief under UAE corporate tax lets a resident business with revenue at or below AED 3 million be treated as having no taxable income for the period. If you read that the relief expires at the end of 2026, that page is out of date. The Ministry of Finance confirmed in August 2026 that the window now runs to tax periods ending on or before 31 December 2029, with the threshold itself unchanged.

That fixes the headline problem. It does not answer the harder question: whether electing small business relief is the right call for your business this year. If the mechanics below apply to your accounts, our corporate tax planning team can walk through your specific numbers.

Small business relief eligibility, in brief

You qualify if you are a UAE resident person, your revenue in the current period and every prior period since 1 June 2023 has stayed at or below AED 3 million, and you hold a valid Tax Registration Number.

Free zone persons taxed at 0% under the qualifying income regime, and members of multinational groups in scope of Pillar Two, are excluded regardless of revenue.

Qualifies Does not qualify
UAE resident natural or juridical personNon-resident person
Revenue at or below AED 3 million every period since June 2023Revenue exceeded AED 3 million in any period
Holds a valid TRNQualifying free zone person
Elects in each returnMember of a multinational group under Pillar Two

How the relief actually works, in five parts, as the Federal Tax Authority sets it out:

  1. It is elected, not automatic. You choose it on the return, for that period only.
  2. Once elected, taxable income for the period is treated as nil.
  3. You give up other reliefs for that period, including loss carry-forward and interest deduction relief.
  4. Exempt income and other Corporate Tax Law provisions still apply normally alongside it.
  5. You still have to register for corporate tax and file, regardless of whether you elect.

What happens the year you cross the small business relief threshold

Say a consultancy brings in AED 2.7 million in its first tax period and elects the relief, paying nothing. In its second period, a strong year pushes revenue to AED 3.4 million. Relief is unavailable for that second period only, because the threshold applies period by period, not as a one-time test.

The business now pays standard corporate tax on income above AED 375,000 for that year, and can elect relief again in a later period if revenue drops back under AED 3 million. Crossing the line once does not disqualify you for good; it just costs you the year you crossed it.

Use a small business relief calculator, like our corporate tax calculator, to run both scenarios before you file.

When the 0% band beats the relief

Every business already gets 0% on the first AED 375,000 of taxable income and 9% above it, relief or no relief. Small business relief is only worth taking when your revenue sits close to the AED 3 million line, and the alternative is paying 9% on a meaningful slice of profit.

If your actual taxable income is well under AED 375,000, the standard rate structure already gets you to zero tax on that income, without giving anything up. Elect the relief instead, and you cannot carry forward losses or disallowed interest from that period to a year when they would offset real tax. For a low-margin business with revenue near the cap but profit well under AED 375,000, declining the relief and keeping the loss carry-forward is often the better trade, especially once you factor in deductible and non-deductible expenses that shrink taxable income anyway. Relief protects revenue from tax. The 0% band already protects the income that matters.

How to apply for small business relief

There is no separate application. You elect it on the corporate tax return itself, for each period.

  1. Register for corporate tax and confirm your TRN, if you have not already.
  2. Track revenue against the AED 3 million threshold for the current and every prior period.
  3. Prepare the return through the FTA's EmaraTax portal.
  4. Make the election within the return, before the corporate tax return filing deadline for your period, usually nine months after the period ends.
  5. Keep supporting records, since the FTA can still request them.

Eligible businesses that elect still file, but on a simplified corporate tax return rather than the full version, which cuts down what needs preparing for a business that owes nothing anyway.

‍

There is a lot that goes in preparation of tax relief. Read about it at length here.

What the relief actually costs you

Sheetal Soni, founding partner of UAE financial advisory firm MICS, has pointed out that the relief keeps compliance light "until they grow into larger business," sparing small companies from full audits and financial statements while they scale. That is the upside. The cost sits on the other side: no loss carry-forward, no interest deduction carry-forward, and no other reliefs for that period.

We see this most often with finance teams who elect automatically because revenue is under the cap, without checking whether they are sitting on losses worth keeping. If you had a rough year two periods ago and expect a stronger one ahead, that loss might be worth more than the relief. Model both outcomes before you tick the box, ideally using automated record keeping so the numbers are ready when the decision needs making.

A UAE corporate tax provision that treats an eligible resident business as having no taxable income for a period, if elected.

Who qualifies for small business relief?
